CURIOUS WORLD (hereinafter "Party A") establishes the following Terms of Use (hereinafter "these Terms") concerning use of the online English conversation service (hereinafter "the Service") provided on the "Online English Conversation" website operated by Party A, by applicants and users (hereinafter "Party B").
Party B must agree to these Terms and the Privacy Policy (handling of personal information) separately stipulated by Party A (hereinafter "Privacy Policy"). Party A shall deem Party B to have agreed to all provisions of these Terms at the time Party B applies to register for the Service.

Article 1 (Scope of these Terms)

The scope of application of these Terms includes the website provided by Party A on the Internet (hereinafter "this Website"), as well as information sent by Party A to Party B via email, etc.
Definitions used in these Terms are as follows:

  1. Lessons provided over the Internet through the Service are referred to as "Lessons."
  2. English conversation instructors provided through the Service are referred to as "Teachers."
  3. The email address stated in the registration information entered by Party B when registering for the Service is referred to as the "Registered Email Address."
  4. The Teacher in charge of a given Lesson is referred to as the "Assigned Teacher."
  5. Reserving a Lesson time with an Assigned Teacher in advance is referred to as a "Reserved Lesson."

Article 2 (Registration for the Service)

Section 1

Party B shall apply to register for the Service by the method specified by Party A. When registering, Party B must confirm and agree to the following:

  1. That the communication environment does not interfere with use of the Service.
  2. That among Teachers providing English conversation services, Party A's full-time, part-time, and other staff may be included.
  3. That Party A may send notifications, advertisements, surveys, etc. related to the Service to Party B by email.
  4. That for quality improvement of customer support, Party A may record, store, and retain audio or content of Party B's inquiries.

Section 2

The email address, password, and other information required to log in or use the Service (hereinafter "Password, etc.") used by Party B when registering shall be used within the Service.

Section 3

Party B shall apply to register by the method specified by Party A. If Party B falls under any of the following, Party A may refuse the registration or cancel registration even after registration.

  1. Party B is determined not to exist or likely not to exist.
  2. Multiple accounts are or may be registered by the same person.
  3. False statements, errors, or omissions in registration.
  4. At the time of application, Party B is or has been subject to account suspension, forced withdrawal, or refusal of membership due to violation of membership rules.
  5. Payment information declared by the applicant is treated as invalid by the payment company.
  6. Party B has delayed payment of fees in the past.
  7. Other cases where Party A deems Party B unsuitable as a user.

Section 4

Party B shall strictly manage Password, etc. Party A may treat use of the Service as by Party B when the password entered at login matches the registered password.

Section 5

Party B shall not allow third parties to use Password, etc., nor transfer or lend them to third parties.

Section 6

If Party B forgets Password, etc., or suspects unauthorized use by a third party, Party B must promptly contact Party A and follow instructions. Party B shall compensate for damages arising from delay in such contact.

Article 3 (Change of registration information)

If Party B's registration information must be changed, Party B shall complete change procedures without delay by the method specified by Party A. Party A assumes no liability for damages to Party B caused by delay in such procedures.

Article 4 (Prohibited conduct)

Section 1

When using the Service, Party B shall not engage in the following:

  1. Transferring, selling, assigning, or encumbering the right to use the Service to a third party.
  2. Transferring or lending Password, etc., to third parties or allowing third parties to use them.
  3. Infringing Party A's honor, credit, copyright, patent, utility model, design, trademark, portrait, or privacy rights.
  4. Illegal acts or acts against public order and morals.
  5. Interfering with operation of the Service.
  6. Using the Service for business, profit, or preparation.
  7. Inducing or facilitating illegal acts toward other users or Teachers.
  8. Causing economic or mental harm to other users or Teachers.
  9. Criminal acts or acts connected to crime.
  10. Harassment of Teachers or conduct that obstructs Lessons.
  11. Probing confidential information not generally disclosed by Party A, such as Teachers' employment terms, call center locations, or Internet lines.
  12. Soliciting Teachers regarding religion, political organizations, multi-level marketing, etc.
  13. Attempting private contact with Teachers online or offline, by Party B or agents.
  14. Soliciting Teachers to work for competing services or companies.
  15. Abusive or threatening conduct toward Teachers or customer support staff, or obstructing support operations.
  16. Multiple users using one account.
  17. Registering multiple accounts.
  18. Having two or more third parties join a Lesson in addition to Party B (one additional guest may be allowed during Party B's Lesson).
  19. Attending Lessons while intoxicated.
  20. Excessive exposure or costumes that cause anxiety or burden to Teachers.
  21. Publishing Lesson content, images, video, or audio without Party A's consent.
  22. Conducting Lessons without text input, voice log, or video log.
  23. Other conduct Party A deems inappropriate.

Section 2

Whether conduct falls under the preceding section shall be determined at Party A's discretion. Party A has no obligation to explain such determinations.

Article 5 (Penalties)

Section 1

If Party A determines that Party B has engaged in prohibited conduct under Article 4, Party A may suspend, interrupt, or stop use of the Service or cancel registration without prior notice, regardless of service status.

Section 2

If Party B is subject to measures under the preceding paragraph, Party A shall not refund any fees already paid.

Section 3

Party A assumes no liability for private disputes with Teachers during or outside Lessons.

Section 4

If Party A or a third party suffers damage due to conduct violating the preceding paragraph, Party B bears full legal liability even after withdrawal, and must compensate Party A for any damage.

Article 6 (Email notifications)

Section 1

Party A may send email regarding important matters related to the Service even if Party B has set refusal to receive all email from Party A.

Section 2

Email notifications are deemed complete when sent to the Registered Email Address.

Section 3

Party B shall configure settings so that email from Party A can be received.

Section 4

Party A assumes no liability if email does not reach Party B due to errors in the Registered Email Address or Party B's failure to update settings. Party B shall compensate for damages from non-delivery and may not hold Party A liable.

Article 7 (Use of the Service)

Section 1

Party B must confirm and agree to the following. Party B may use the Service after registering as provided in Article 2 Section 1 and receiving Party A's approval by email.

  1. Party A may record necessary information such as Lesson content to maintain consistency of the Service.
  2. Party A may confirm Lesson content during Lessons for smooth provision of the Service.

Section 2

Party B may begin using the Service from the date (hereinafter "Service Start Date") when Party A confirms the first payment of fees on Party A's system after registration is complete.

Article 8 (Lessons)

Section 1

Each Lesson shall be 25 minutes. Unless otherwise specified, Lesson time shall not be interrupted.

Section 2

If Party B is more than 5 minutes late to the Lesson start time, the Lesson shall be automatically cancelled. If less than 5 minutes late, the Lesson may proceed; Lesson time shall be 25 minutes minus the late minutes.

Section 3

Party A may end the Lesson if Party B engages in prohibited conduct under Article 4 or Party A deems it applicable.

Section 4

Some Lessons may be recorded for quality improvement. Party B agrees and acknowledges that Lessons Party B attends may be recorded by Party A.

Article 9 (Reserved Lessons)

Section 1

Party B may use Reserved Lessons. A Reserved Lesson is established when the reservation is reflected in Party B's reservation status on the Service.

Section 2

Party B may reserve up to 6 hours before the Lesson start time.

Section 3

Party B may make reservations up to 7 days in advance.

Section 4

In addition to the above, Party B shall follow rules separately specified by Party A on the website.

Article 10 (Fees and payment)

Section 1

Party B shall pay fees separately specified by Party A as consideration for use. Party B shall bear consumption tax and other applicable taxes.

Section 2

Party B shall pay fees by the payment method designated by Party A on the "Member Registration" or "Payment" screens.

Section 3

Unless Party B withdraws, the usage contract shall automatically renew on the same terms for each contract period of the plan Party B subscribes to (hereinafter "Subscribed Plan").

Section 4

Fees are paid per contract period; fees once paid shall not be refunded for any reason, except where the Service was not provided due to Party A's fault.

Section 5

If payment fails due to system failure or payment error but Party B has not withdrawn, Party A may bill Party B later. Unpaid amounts may be charged automatically to registered payment information. No billing after withdrawal before charge.

Article 11 (Effective period of the Service)

Section 1

The usable period of the Service begins on the first payment (billing) date and lasts for the contract period according to the Subscribed Plan.

Section 2

Use of the Service during the usable period shall not be interrupted.

Section 3

The usable period may be extended by payment of fees.

Article 12 (Withdrawal)

Section 1

Party B shall apply to withdraw by the method separately specified by Party A. When withdrawal is properly applied, eligibility ends when withdrawal is complete. Withdrawal is complete when Party A confirms and sends email, etc., that procedures are complete.

Section 2

Withdrawal may be requested at any time. However, unless withdrawal is requested by the day before the Subscribed Plan contract period ends, the contract auto-renews.

Section 3

Upon completion of withdrawal, Party B loses all rights regarding the Service and may not make any claim against Party A.

Section 4

If Party A or a third party suffers damage due to Party B's conduct related to the Service, Party B bears full legal liability even after withdrawal.

Article 13 (Handling of registration information)

Section 1

Party A uses Party B's registration information only for the purpose of providing the Service.

Section 2

Party A does not disclose registration information to third parties without Party B's prior consent, except:

  1. When required by law or when cooperation is necessary for national or local government affairs.
  2. When necessary to protect life, body, or property and consent is difficult to obtain.
  3. When taking necessary measures including legal action for violation of these Terms.

Section 3

Personal information in registration data shall be handled according to the Privacy Policy.

Article 14 (Suspension or termination of the Service)

Section 1

Party A may suspend or terminate the Service by prior notice on the Service or by email. Party A may also suspend without notice due to force majeure such as server failure, disaster, or political circumstances.

Section 2

Party B agrees that the Service may be unavailable on holidays in the Republic of the Philippines, or that available Lessons may be significantly fewer than usual.

Article 15 (Damages)

If Party B violates these Terms, Party A may claim compensation for direct or indirect damages arising from the violation.

Article 16 (Copyright and ownership)

Section 1

Copyright and ownership of trademarks, logos, text, and content related to the Service belong to Party A. Party B shall not use trademarks, repost, modify, or copy beyond the purpose of use without Party A's express prior consent.

Section 2

If Party B violates the preceding paragraph, Party A may take measures under copyright, trademark, and other laws (warning, complaint, damages, injunction, reputation recovery, etc.).

Article 17 (Disclaimer)

Section 1

Party B agrees that Party A shall not be liable for any damages arising from or related to the following:

  1. Dissatisfaction with use of the Service.
  2. Insufficient number of Lessons provided.
  3. Inability to reserve a Lesson in a desired time slot.
  4. Inability to reserve a Lesson with a desired Teacher.
  5. Lesson cancellation due to power outage or communication failure in the Teacher's Country.
  6. Unauthorized access or alteration of Party B's messages or data, or acts by third parties.
  7. Learning effectiveness, usefulness, accuracy, or truthfulness of Lessons.
  8. Effectiveness or safety of third-party services or materials introduced by Party A.
  9. Virus damage from files opened at Party B's discretion during Lessons.
  10. Inability to use the Service due to loss of Password, etc., through Party B's negligence.
  11. Completeness, accuracy, or safety of information or links on the Service.
  12. Content or use of third-party websites linked from or to the Service.

Article 18 (Date and time display)

All dates and times on the Service, including Service Start Date, payment deadlines, and application deadlines, shall be Japan time (GMT+9).

Article 19 (Changes to these Terms)

Party A may change these Terms without notice to Party B. Changed Terms take effect when posted on the Service or when Party A sends information by email. Party B agrees to this method of change in advance.

Article 20 (Governing law and jurisdiction)

These Terms shall be governed by the laws of Japan. Party A and Party B agree that the Tokyo District Court shall have exclusive jurisdiction of the first instance for disputes arising between Party A and Party B related to the Service or these Terms.

CURIOUS WORLD (hereinafter "CW"), which operates "オンライン英会話", recognizes the importance of the Act on the Protection of Personal Information and its social responsibility regarding personal information entrusted to us by customers. To appropriately protect and handle customers' personal information, we disclose the following basic policy on personal information.

(1) Purposes of use of personal information

We obtain personal information for the following operations and purposes:

  • Customer management, information collection, and provision of information to partner organizations in learning procedure agency services and other learning-related support services
  • Sending and delivery of necessary documents and written materials
  • Responses to consultations and inquiries
  • Contact by telephone, email, etc.
  • Provision of information related to education, study abroad, and employment

(2) Provision of personal information to third parties

If CW determines that provision of personal information is essential for business operations, we may provide personal information to contractors, etc. When outsourcing, we select contractors that can appropriately manage and protect personal information, and we provide personal information only to contractors with which we have concluded confidentiality agreements in advance. We do not provide personal information to third parties for purposes other than study abroad products or services.

(3) Disclosure of personal information

CW does not disclose personal information except in the cases described in (2) above and the following:

  • When the person concerned has permitted disclosure
  • When disclosure is required by law
  • When necessary to protect the life, body, or property of the person or the public and obtaining consent from the person is difficult
  • When disclosure would not allow identification of the individual

(4) Security management of personal information

To prevent tampering, loss, unauthorized access, destruction, or improper leakage to outside parties of personal information provided to CW, we endeavor to implement reasonable security measures.

(5) Scope of application

This privacy policy applies only within websites operated by CW. CW assumes no responsibility for the protection of personal information on linked websites operated by third parties other than CW. If you provide your information on a website operated by a third party, please check that site's privacy policy yourself.

(6) Inquiries regarding retained personal information

Regarding personal information managed by CW, if we receive a request from the customer for disclosure, correction, update, or suspension of use, we will take necessary measures within a reasonable scope. For disclosure, actual shipping costs may be charged.
